Terms of service

1. The parties

These terms are between Simon Leboucher EI, a French sole proprietorship (entrepreneur individuel, micro-entreprise), registered at 60 rue François 1er, 75008 Paris, France under number SIRET 931 461 867 00034 (“we”), and the business that creates or uses a Turnout workspace (“you”). Whoever accepts them for that business confirms they may bind it.

2. Business use only

Turnout is for businesses. You use it for your business, not as a consumer, and every person who uses it is 18 or older.

3. Accounts and admins

Whoever creates a workspace is its admin. Admins invite members as admins or viewers, connect and disconnect accounts, change settings and can delete the workspace. You are responsible for your users and for keeping their sign-in methods secure. Tell us at security@heyturnout.com if you suspect unauthorised access.

4. The service

• Turnout reads your Stripe and Livestorm accounts with read-only access, and computes analytics from that data. It never changes anything in those accounts.
• It is provided as is and as available. We work to keep it accurate and running, but do not promise that it is free of errors or interruptions.
• Its analytics show associations, not proof of cause. They are not financial, accounting or tax advice.
• Features may change.

5. Your data

You keep all rights to the data you connect. You allow us to process it only to provide Turnout to you. Our Data Processing Agreement is part of these terms and governs the personal data in it. The privacy policy says what we process and how long we keep it.

6. Acceptable use

You must have the right to connect each account you connect, and to let us process its data. You must not:

• misuse Turnout, use it unlawfully, or help anyone else do so;
• try to reach another workspace’s data, or to get around our security;
• reverse engineer, decompile or copy the service, except where the law allows it;
• put excessive load on it, or reach it by automated means other than the app.

7. Fees

Turnout is a subscription, per workspace, with three billing periods:

• 47 € per month, billed every month;
• 99 € per 3 months, billed every 3 months;
• 299 € per year, billed every year.

• Each workspace starts with a 14-day free trial. Fees start when the trial ends; cancelling before then costs nothing.
• Prices include taxes, wherever you are.
• Stripe handles payments, invoices and taxes. Fees are payable in advance for each period, and the subscription renews automatically for the same period.
• You can cancel at any time. Cancelling takes effect at the end of the period already paid, with no refund for the rest of it.
• We email workspace admins 30 days before a price increase applies. It applies from the next period that starts after that.
• Late payment bears penalties at three times the French legal interest rate, plus a fixed recovery indemnity of 40 € (article L441-10 of the French Commercial Code).

8. Suspension and termination

• You can delete your workspace at any time from its workspace page. That ends these terms for it.
• We can suspend or close a workspace that breaches these terms, unpaid fees included, with notice to its admins when we reasonably can.
• When a workspace is deleted, its data is deleted within 24 hours, as the privacy policy describes. While a workspace is suspended, its data is kept.

9. Liability

Our total liability for all claims under these terms is limited to the fees you paid in the 12 months before the claim.

Neither party is liable for indirect or consequential loss, or for lost profits, revenue or data. Nothing in these terms limits liability where the law does not allow it to be limited.

10. Changes

We may update these terms. Before a material change, we email workspace admins 30 days before it applies. If you do not agree, you can delete the workspace before then.

11. Law and courts

French law applies. Any dispute that cannot be settled amicably goes to the competent courts of Paris, France.
